Parter App Terms of Service

Last updated: November 1, 2026

These Terms of Service apply to your use of the Parter application. For the parter.ai website, see the Website Terms of Use.

Effective date: 1 November 2026

1. Who we are and what these terms cover

1.1 These Terms of Service ("Terms") are a contract between Parter Inc., a Delaware corporation with offices at 1412 Broadway, New York, NY 10018, USA ("Parter", "we") and the person or organization that creates an account or uses the Parter platform at parter.ai ("you", "Customer").

1.2 The Terms cover the Free, Trial and Basic self-serve plans. Enterprise customers sign a separate agreement; if you have one, it overrides these Terms where the two conflict.

1.3 These documents are part of the Terms by reference: the Privacy Policy, the Data Processing Addendum ("DPA"), the Acceptable Use rules in clause 7, and the plan limits on our pricing page. On personal data, the DPA controls.

NOTICE: CLAUSE 18 CONTAINS A BINDING ARBITRATION PROVISION AND A CLASS ACTION WAIVER THAT AFFECT YOUR LEGAL RIGHTS. YOU MAY OPT OUT WITHIN 30 DAYS AS DESCRIBED THERE.

2. Acceptance and authority

2.1 You accept these Terms when you tick the acceptance box and create an account. Changes to the Terms take effect as described in clause 17. Electronic acceptance has the same effect as a signature.

2.2 If you accept for a company or other organization, you confirm that you have authority to bind it. If you do not have that authority, you are bound personally.

2.3 You must be at least 18 years old to use the Service.

3. Definitions
  • Service: the Parter platform, its data, APIs, exports, alerts and documentation.
  • Parter Data: part data, lifecycle and EOL status, PCN records, risk scores, alternative-part mappings, pricing and availability indications, predictions and any other content Parter provides, whether compiled by Parter or licensed from third parties.
  • Customer Content: BOMs, part lists, files, notes and other material you upload or create in the Service.
  • Usage Data: technical and operational data about how the Service is used (queries, feature use, performance logs), excluding Customer Content.
  • Outputs: reports, alerts, alternative suggestions and AI-generated text the Service produces for you from Parter Data and Customer Content.
  • Authorized User: a person you allow to use the Service under your account.
4. Accounts and organizations

4.1 Each login belongs to one person. Do not share credentials. One free account per person.

4.2 An organization account is owned by the Customer, not by any individual user. Admins may add or remove Authorized Users, see usage, export data and change plans. You are responsible for everything done under your account.

4.3 Keep your contact email current. We send legal notices there.

5. Plans, free tier and trials

5.1 Free plan. For personal, educational and evaluation use by individuals and makers only. Not for use by or on behalf of a business. Parter sets the Free plan limits (for example searches, BOM lines, exports and alerts). The current limits are shown on the pricing page and inside the Service, and we may adjust them at our discretion. We may end the Free plan with 14 days' notice posted in the Service or sent by email.

5.2 Trial. The Basic trial lasts 14 days. At the end it converts to a paid Basic subscription only if you have given separate consent to recurring billing (clause 6.2). Before you start the trial we show you the exact date and amount of the first charge, and we email you a reminder at least 7 days before it. You may cancel at any time during the trial at no cost.

5.3 Basic plan. For business use only. The price shown on the pricing page when you subscribe, billed monthly in advance per organization. Plan limits are on the pricing page.

5.4 Downgrade. You may downgrade to Free only if your use meets the Free plan rules in 5.1 (personal use, not business use). Content above the Free limits is deleted when the downgrade takes effect. Before you confirm a downgrade we warn you and offer an export. Export your content first. If you are not eligible for Free, cancel your subscription instead and clause 16.4 applies.

6. Fees, billing and auto-renewal

6.1 Fees are stated on the pricing page in US dollars and exclude taxes unless stated. You pay any VAT, sales tax or withholding that applies.

6.2 Automatic renewal. Your Basic subscription renews each month and we charge your payment method automatically until you cancel. Before you start a paid plan we show you the price, billing frequency, renewal date and how to cancel, and you confirm recurring billing in a separate checkbox. We keep a record of that consent and email you a confirmation that states the renewal terms and how to cancel, in a form you can keep.

6.3 Cancel any time. You can cancel online from your account settings, or by email to support@parter.ai. Cancellation takes effect at the end of the current billing period and no further charges apply. You keep access until then.

6.4 Reminders. We email a reminder before any renewal that follows a trial, and once a year for monthly plans, stating the plan, price and how to cancel.

6.5 Price changes. We give at least 30 days' email notice, or where state law sets a specific notice window, notice within that window. New prices apply only from your next renewal, and the notice tells you how to cancel. If you do not accept the new price, cancel before it takes effect. Price changes follow this clause and do not need acceptance under clause 17.

6.6 Refunds. Fees are non-refundable except: (a) where law requires (clause 19); (b) if we end your subscription without cause or materially change the Terms to your detriment, we refund unused prepaid fees pro rata. There are no refunds or credits for partial months, downgrades, or unused features. Cancelling mid-period keeps your access until the period ends.

6.7 Payment processor. Payments are processed by Stripe. Parter is the seller of record and issues your invoices. By entering a payment method you authorize Stripe to store it and charge it under these Terms. Stripe's own privacy policy applies to the payment data it holds. Business customers with a valid tax ID may provide it in Settings → Billing so the correct tax treatment applies.

6.8 Non-payment. If a charge fails we retry and notify you. After 5 days we may suspend access. After 30 days we may end the subscription. Fees accrue during suspension.

7. Licence and acceptable use

7.1 During your subscription we grant you a non-exclusive, non-transferable licence to use the Service and Parter Data for your organization's internal business purposes (or, on the Free plan, your personal purposes), within the limits of your plan.

7.2 You may include Outputs in your own internal documents, design files and reports, share those reports with your suppliers, manufacturers and consultants for work on your own products, and keep exported reports after your subscription ends. This does not allow bulk redistribution of Parter Data.

7.3 You must not, and must not let anyone else:

  • scrape, crawl, or use bots or scripts to access the Service, or pull data other than through features we provide, within plan limits;
  • bulk-export, cache, store or mirror Parter Data beyond the exports your plan allows, and keep no cached copy older than 24 hours (exports made through the Service's own export features are not caching);
  • except for the report sharing allowed in 7.2, resell, redistribute, publish or sublicense Parter Data or Outputs, or use them to build or train a competing database, model or service;
  • use Parter Data to compile historical price or stock trends or predictive analytics for anyone other than your own organization;
  • share logins, exceed seat or quota controls, or circumvent rate limits;
  • reverse-engineer the Service or its scoring, prediction or matching methods;
  • remove notices, attribution or source references from Parter Data;
  • upload unlawful content, malware, or personal data beyond what the DPA allows;
  • use the Service in breach of export or sanctions law (clause 13).

7.4 We may throttle, limit or suspend access that breaches this clause or threatens the Service, without liability. Where law requires, we tell you why and how to appeal at support@parter.ai.

8. Customer Content

8.1 You own your Customer Content. You grant Parter and its service providers a licence to host, process, display and transmit it only to provide, secure, support and improve the Service for you.

8.2 We do not use Customer Content, or Outputs generated from it, to train machine-learning models unless an admin turns on that option in Settings. If an admin turns it on, we use only de-identified data that cannot be traced to you, your users or your products, and the admin can turn it off at any time.

8.3 You are responsible for having the rights to upload Customer Content and for its accuracy.

8.4 You can export your Customer Content at any time during the term as an Excel file from Settings → Export.

8.5 Service providers. We may use third-party service providers to help us deliver the Service. They process Customer Content only on our instructions and under written contracts that impose data-protection obligations consistent with these Terms. Parter remains responsible to you for their compliance. Where a provider's models help generate Outputs, that provider may not use your content to improve its products or general models. Its terms allow it to retain prompts and outputs for a limited period for abuse monitoring, policy enforcement and legal compliance (currently up to 55 days for our main provider), to have authorized staff review content flagged as abusive, and to use that logged data to train models used only for policy enforcement. To find datasheets and alternatives, the Service may send short search queries about a part to web-search providers; these queries never include your BOM files or account data.

9. Parter Data, third-party sources and Usage Data

9.1 Parter Data is licensed, not sold. Parter and its licensors own it, including the compiled database, scores, predictions and alternative mappings. Manufacturer and distributor data stays the property of its owners.

9.2 Parter Data comes partly from manufacturers, distributors and other third parties. We do not independently verify it. We may add, change or remove sources at any time without liability.

9.3 We own Usage Data. We use it to operate, secure, improve and benchmark the Service. We disclose it outside Parter only in aggregated and de-identified form that cannot identify you, your users or your Customer Content.

10. AI-assisted outputs and engineering responsibility

10.1 Some Outputs are generated or ranked by automated models, including lifecycle predictions, risk scores, alternative suggestions and chat answers. Where you interact with a chat or assistant feature, you are interacting with AI, and AI-generated text is labelled.

10.2 Outputs are estimates and information, not manufacturer statements and not engineering advice. They may be wrong, incomplete or out of date.

10.3 You alone decide whether a part or alternative is suitable. Before any design, qualification or purchasing decision you must verify Outputs against the current manufacturer datasheet, PCN and EOL notices, and authorized sources. Pricing and availability shown are indicative, not offers.

10.4 Do not rely on the Service for safety-critical applications (life support, medical devices, aerospace, nuclear, automotive safety or similar) without independent qualification.

11. Intellectual property and feedback

11.1 Parter owns the Service and all improvements to it. These Terms grant no rights except those stated.

11.2 If you give us feedback, we may use it without restriction or payment. We will not name you as its source without consent.

12. Confidentiality and privacy

12.1 Each party keeps the other's non-public information confidential and uses it only under these Terms. Customer Content is your confidential information. Confidential information excludes information that is public through no fault of the receiving party, already known to it, independently developed, or received from a third party without restriction. A party may disclose confidential information when law requires, after giving notice where allowed. These duties last 5 years after termination, and for trade secrets for as long as they remain trade secrets.

12.2 For account, billing and Usage Data, Parter is the data controller under the Privacy Policy. For personal data inside Customer Content, Parter is a processor under the DPA. The DPA includes GDPR Article 28 terms, a UK addendum, a US state-privacy annex and the terms on which we engage sub-processors.

12.3 We process and store data in the United States and in other countries where we or our service providers operate. Where law requires safeguards for international transfers, the transfer mechanisms in the DPA apply.

12.4 We tell you without undue delay after we become aware of a security incident affecting your Customer Content, and share what we know as the investigation proceeds.

13. Export controls and sanctions

13.1 You confirm you are not located in, or ordinarily resident in, a territory under comprehensive US or EU sanctions, not on a denied-party list, and will not use the Service for weapons of mass destruction or prohibited military end uses. We may suspend or end your access if you become subject to these restrictions.

13.2 You are responsible for export compliance of your own designs and products. We may block access from restricted territories.

14. Warranties and disclaimers

14.1 We will provide the Service with reasonable skill and care, maintain a security programme independently audited to SOC 2 Type II, and will not materially reduce its core functions during a paid period without notice.

14.2 EXCEPT AS STATED IN 14.1, THE SERVICE, PARTER DATA AND OUTPUTS ARE PROVIDED "AS IS" AND "AS AVAILABLE". WE DISCLAIM ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND THE ACCURACY, COMPLETENESS OR TIMELINESS OF ANY DATA. FREE AND TRIAL PLANS CARRY NO SUPPORT OR UPTIME COMMITMENT.

15. Limitation of liability

15.1 Neither party is liable for indirect, consequential, special or punitive damages, or for lost profits, revenue, data or business, however caused.

15.2 Each party's total liability under these Terms is limited to the fees you paid or owed to Parter in the 12 months before the event giving rise to the claim. For Free and Trial plans the limit is USD 100. Parter's total liability under its indemnity in clause 16.1 is limited to 3 times the fees you paid or owed in the 12 months before the claim.

15.3 These limits do not apply to: death or personal injury caused by negligence; fraud, gross negligence or wilful misconduct; your payment obligations; your breach of clause 7; your indemnity in clause 16; or any liability that cannot be limited by law, including non-waivable consumer rights.

16. Indemnities, term and termination

16.1 Parter will defend you against third-party claims that the Service infringes their IP, and pay resulting damages, unless the claim arises from Customer Content, your combination of the Service with other things, or your breach. You will defend Parter against claims arising from Customer Content, your use of the Service in breach of these Terms, or your products and designs. The indemnified party must give prompt notice, let the indemnifying party control the defence and settlement (no settlement that admits fault for, or imposes obligations on, the other party without its consent), and cooperate reasonably. If the Service is, or Parter believes it may be, found infringing, Parter may modify or replace it, obtain a licence, or end the affected part and refund unused prepaid fees. This clause is your sole remedy for third-party IP claims about the Service.

16.2 These Terms last while you have an account. You may close your account at any time. We may end these Terms for material breach not cured within 30 days of notice, or immediately for breach of clause 7 or 13, a security threat, or non-payment under 6.8.

16.3 On termination your licence ends. You keep exported reports under 7.2.

16.4 Exit and portability. You may export all Customer Content, alerts and history as Excel files while you have access and for 30 days after your paid subscription, trial or Free plan ends, whether or not your account stays open. We charge no fee for switching or exit. We delete Customer Content within 60 days after that window, except copies in disaster-recovery backups (which are access-restricted and from which deleted content is not restored to live systems), aggregated data, and content you keep under a valid Free plan after a downgrade. A list of export formats is at parter.ai/policies/app-terms-of-service.

16.5 Clauses 7.3, 8, 9, 10, 11, 12, 14, 15, 16, 18, 19 and 20 survive termination.

17. Changes to these Terms

17.1 We may change these Terms. For material changes (liability, data use, dispute terms and similar) we give at least 30 days' notice by email to account owners and in the Service, and ask you to accept on your next login. Other changes take effect when posted, with a changelog. If you have not accepted a material change by its effective date, your paid subscription ends on that date, does not renew, and we refund unused prepaid fees pro rata. You can still reach your billing settings and export your content under 16.4 without accepting the new Terms. You may accept later and start a new subscription. For Free and Trial users, access pauses until you accept; export under 16.4 remains available.

17.2 Changes are never retroactive. If you reject a material change, you may end your subscription at any time before it takes effect and receive a pro-rata refund of unused prepaid fees.

18. Governing law and disputes

18.1 Default. These Terms are governed by the laws of the State of Delaware, USA, excluding conflict-of-law rules and the UN Convention on Contracts for the International Sale of Goods. Subject to 18.2 and 18.3, the state and federal courts in Delaware have exclusive jurisdiction, and each party submits to them.

18.2 Arbitration and class waiver. Any dispute between you and Parter is resolved by binding individual arbitration under the American Arbitration Association (AAA) consumer or commercial rules, by one arbitrator, by video unless agreed otherwise. The Federal Arbitration Act governs this clause. The arbitrator, not a court, decides whether a dispute must be arbitrated, except that a court decides any dispute about the class waiver. If the class waiver is found unenforceable for a claim, that claim proceeds in court under 18.1, not in arbitration. Before filing, a party sends a written notice and both parties try to resolve the dispute informally for 60 days. Either party may bring a qualifying claim in small-claims court instead. Class, collective and representative actions are waived. If many similar claims are filed, they may be handled in non-precedential batches with limitation periods tolled. You may opt out of this clause by emailing support@parter.ai within 30 days of accepting these Terms. Parter pays arbitration filing fees above the court filing fee. Either party may seek injunctive relief for IP or clause 7 breaches in any competent court. To the extent a claim proceeds in court, both parties waive trial by jury where the law allows.

18.3 If you are a consumer in the EU or the UK, clause 18.2 does not apply, and nothing in these Terms removes your right to bring claims in the courts of your home country or your rights under mandatory local law.

19. Consumer rights annexes

If you are an individual using the Service outside your trade or profession, the following apply and override any conflicting clause above.

19.1 EU and UK. You have 14 days to withdraw from a paid plan without reason. At checkout you may ask us to start the Service immediately and acknowledge that, if you withdraw, you pay pro rata for the period used. To withdraw, email support@parter.ai with the subject "Withdrawal" and these details: your name, account email, the plan, and the date you subscribed. You may use that template or any other clear statement. Mandatory consumer law of your country of residence applies where it gives you more protection.

19.2 United States. Where state law gives you additional cancellation or notice rights (for example California, New York, Minnesota, Maryland), those rights apply.

20. General

20.1 Notices to Parter: support@parter.ai and Parter Inc., 1412 Broadway, New York, NY 10018, USA. To you: your account email.

20.2 Assignment. You may not assign these Terms without consent. Parter may assign to an affiliate or successor.

20.3 Order of precedence. Enterprise agreement > DPA (for personal data) > these Terms > Privacy Policy and pricing page. Purchase-order terms have no effect.

20.4 General terms. Neither party is liable for delay or failure caused by events beyond its reasonable control (force majeure), except for payment obligations. If any clause is unenforceable, the rest stays in force and the clause is read as narrowly as needed to be enforceable. Not enforcing a clause once does not waive it. These Terms, with the documents in 1.3, are the entire agreement and replace earlier discussions. The parties are independent contractors. No one other than you and Parter has rights under these Terms. Any claim under these Terms must be brought within one year of the event giving rise to it, unless law requires a longer period.

20.5 Marketing. Service and billing emails are part of the Service. We send marketing emails to account holders only with your separate consent. Outreach to prospective business customers is governed by our Privacy Policy. All marketing messages identify themselves as marketing where law requires and include a way to opt out.

20.6 Headings. Headings are for convenience and are not part of the contract.

20.7 Electronic communications. You consent to receive notices, invoices and disclosures electronically, at your account email or in the Service.

20.8 Third-party integrations. Tools you connect to the Service (for example EDA, PLM or ERP integrations) are not part of the Service. Their own terms govern them and we are not responsible for them.

20.9 US Government users. The Service is commercial computer software and documentation under FAR 12.212 and DFARS 227.7202. Government users receive only the rights set out in these Terms.

20.10 Changes to the Service. We may change or retire features. If a change materially reduces the core functions of a paid plan, we give 30 days' notice and you may end your subscription with a pro-rata refund of unused prepaid fees.

20.11 Publicity. We may list your organization's name and logo as a Parter customer on our website and in sales materials. You may opt out at any time by emailing support@parter.ai, and we will remove them within 30 days.
